The Senior Corporate Paralegal will play a crucial role in managing and maintaining the corporate governance documents of a parent company with an extensive network of subsidiaries. This position requires an individual with 10+ years of experience in corporate governance, proficient in managing all aspects of major entity types across various US jurisdictions from formation through maintenance, transferring among holding companies, and dissolution.

 

Duties & Responsibilities:

 

Corporate Governance Documentation:

  • Maintain and organize corporate records, governance documents, and minute books for the parent company and its subsidiaries.
  • Prepare and file necessary documents for the formation, maintenance, and dissolution of entities.
  • Ensure compliance with federal, state, and local regulations.
  • Draft and manage board resolutions, meeting minutes, and other corporate governance documents.


Entity Management:

  • Oversee the formation, qualification, and dissolution of various entity types (LLCs, corporations, partnerships) across multiple US jurisdictions.
  • Handle the transfer of entities among different holding companies.
  • Maintain accurate and up-to-date records of all corporate entities and subsidiaries.

 

Compliance and Regulatory Filings:

  • Ensure timely and accurate filing of annual reports, franchise tax reports, and other required filings.
  • Monitor changes in laws and regulations that may affect the company’s entities and advise on necessary adjustments.
  • Assist with the preparation and filing of regulatory documents as needed."

 

Coordination and Communication:

  • Liaise with internal departments, external counsel, and regulatory bodies to ensure seamless management of corporate governance matters.
  • Coordinate board and committee meetings, including scheduling, agenda preparation, and document distribution.
  • Serve as a point of contact for corporate governance inquiries from internal and external stakeholders.

 

Project Management:

  • Lead and manage transaction workstreams to ensure involvement of transaction stakeholders and facilitate closure and documentation of transactions involving the company and its subsidiaries.
  • Lead and manage projects related to corporate governance and entity management.
  • Implement best practices and procedures to improve efficiency and compliance in corporate governance processes.
  • Provide training and guidance to junior paralegals and other team members as needed.
  • Other non-essential duties as assigned or may be necessary

 

Knowledge/Skills/Abilities:

  • Extensive knowledge of corporate governance in principles, laws, and regulations.    
  • Proficiency in managing corporate entities across multiple US jurisdictions.    
  • Strong organizational and project management skills.    
  • Excellent written and verbal communication skills.    
  • Ability to work independently and handle multiple tasks simultaneously.    
  • Proficiency in Microsoft Office Suite and legal research databases.    

 

Position Requirements: 

  • Bachelor's Degree in Legal Studies or similiar major required
  • Paralegal Certificate preferred
  • 10+ years experience in  working in a corporate legal department or law firm specializing in corporate governance; familiarity with corporate governance software and tools; and experience managing M&A-type transaction workflows
